1. Acceptance of Terms

By accessing or using the BPract Agents platform ("Service") operated by BPract Software Solutions LLP("BPract," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and account holders.

2. Service Description

BPract Agents is an AI agent platform that enables you to deploy intelligent chatbots and AI experiences on your website. The Service includes the chat widget, AI Mode, admin panel, knowledge base, agentic actions, analytics, and related features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration and Security

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in abusive behavior.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to circumvent rate limits, token budgets, or usage quotas.
• Upload malicious content, malware, or code designed to disrupt the Service.
• Use the Service to generate spam, phishing content, or deceptive communications.
• Scrape, reverse-engineer, or attempt to access the Service's source code or infrastructure.
• Impersonate another person or entity, or misrepresent your affiliation.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the AI agents to provide professional advice (medical, legal, financial) without proper disclaimers.

5. Payments and Billing

Paid plans are billed monthly or annually as selected at the time of subscription. All prices are displayed in Indian Rupees (INR) unless otherwise stated. Payments are processed securely through Razorpay. You authorize us to charge your payment method on a recurring basis. Refunds are handled on a case-by-case basis; contact us within 7 days of a charge for refund requests. Free trials do not require payment information. If you do not upgrade before the trial ends, your account reverts to the free Starter plan.

6. Intellectual Property

The Service, including its design, code, algorithms, branding, and documentation, is the intellectual property of BPract Software Solutions LLP and is protected by applicable copyright, trademark, and other intellectual property laws. You retain ownership of all content you upload to the Service, including knowledge base documents, agent instructions, and branding assets. By uploading content, you grant us a limited, non-exclusive license to use that content solely to provide and improve the Service. You may not copy, modify, distribute, or create derivative works of any part of the Service without written permission.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.

8. AI-Generated Content

The Service uses third-party AI models to generate responses. AI-generated content may not always be accurate, complete, or appropriate. You are solely responsible for reviewing and validating AI outputs before relying on them. BPract does not guarantee the accuracy, reliability, or suitability of any AI-generated content. You are responsible for ensuring that your agent's responses comply with applicable laws and regulations in your jurisdiction.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BPract Software Solutions LLP and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless BPract Software Solutions LLP, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow data export, after which it will be permanently deleted unless retention is required by law.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Planned maintenance, infrastructure updates, and force majeure events may cause temporary downtime. We will make reasonable efforts to notify you of planned maintenance in advance.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Kozhikode, Kerala, India.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating this page and the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
